Buying and selling a business in New York
Before you purchase or merge another business into your existing entity, it is important to thoroughly research the business practices and assets/liabilities of that business. The same is true when you are selling a business.
Such transactions are usually structured as either acquisitions or as mergers.
A “merger” combines two (or more) businesses into one, requiring careful planning and determination of responsibilities and liabilities after the merger, and proper asset valuation.
An “acquisition” can take place one of two ways: The purchaser can purchase the selling company’s assets, or the purchaser can purchase the selling company’s stock and take over the business itself. Acquisitions also require careful planning, determination of responsibilities and liabilities after the sale, and proper asset valuation.
Once you decide to sell your business. or to purchase or merge with another business, you need the assistance of a qualified business attorney. We will work with you to determine how best to structure your transaction, through the “Due Diligence” period and ultimately to closing and a successful ownership transfer or merger.
If the operation of the business involves obtaining or transfer of a New York State liquor license from the New York State Liquor Authority, we will work with you to coordinate the application process and your intended transaction. We have represented clients in numerous transactions involving temporary and permanent off-premises and on-premises liquor licenses. We know first-hand the importance of working with the client and the involved agencies early in the process so as to identify and plan for, in a coordinated and result-oriented manner, the many issues which may arise.
